History

Maximus Law is a boutique law firm that uses both in-house and Big Law experience with premier firms in Silicon Valley to help clients achieve their critical commercial and strategic goals. While the firm is named after her fabulous Bernese Mountain Dog, Maximus (now departed but a legal associate in spirit), Clare Badaracco brings over 20 years of experience as a legal advisor in Silicon Valley.  As the founding attorney, Clare Badaracco’s experiences enables her to provide such counsel to companies of all sizes throughout their lifecycle, from company founding to scaling the business. She has helped companies scale through corporate growth, geographical expansion, employee scaling, and launching new products domestically and internationally.  Based on all these experiences, Clare can provide a pragmatic legal approach while also guiding legal strategies to help companies navigate “today's problems” v. “tomorrow's Problems” v. “Great problems to have”.  Maximus Law has extensive experience in lending and financing transactions, corporate matters, legal operations, commercial, product, and privacy. Our Founder

Founding Counsel

Clare Badaracco

Clare is the founding member of Maximus Law. Clare’s practice focuses on providing legal advice on transactional matters, with extensive experience in financial transactions (such as corporate financing, acquisitions and lending transactions), commercial transactions including strategic partnership deals and day-to-day sales- customer transactions for a scaling team, and product and privacy matters for consumer and enterprise technology products. Clare started her career working for Wilson Sonsini (both as a paralegal and then as a financial transaction associate), then she worked at Morrison & Foerster LLP focussing on cleantech and lending transactions representing both borrowers and lenders, including top national financial institutions. Clare has worked in a variety of industries including solar and alternative energy companies, fintech companies, and platform technology companies. What distinguishes Clare is that she has worked with clients of all sizes and in different stages of growth - from formation, to strategic bet -the-company transactions to billion dollar transactions. Also, Clare has worked with a number of technology companies that have impacts in the real world. Working at Sungevity and Airbnb, products are digitally marketed and purchased, but very much delivered in the real world, which brings a unique set of legal issues and challenges.  NDD - Never a Dull Day.  Clare has also worked extensively with executive teams and served as a corporate officer, including leading a company through a SPAC transaction from LOI to SEC Effectiveness.  Clare truly enjoys helping clients navigate the unexpected, and see around the corners to minimize the unexpected. 

Clare is originally from San Francisco and still resides in the city by the bay. Outside of the law, Clare volunteers with various non-profit organizations, including Christmas Everyday and the Knights of the St. Francis of Assisi. For fun, she is an avid tennis player in Northern California and loves to share her tips on Italian travel, especially to Umbria, Tuscany and the Med.

Maximus

Maximus was Clare’s first Bernese Mountain Dog and always a trusted advisor and confidante, much like the famed fictional gladiator for which he was named. He also didn’t mind dressing the part and enjoyed going to the office. Often lawyers do take themselves too seriously, which can over complicate things or set the wrong tone, so Maximus’s spirit reminds us to keep moving forward with and try to have a little fun along the way.
